ARTIST/BAND AGREEMENT

DO NOT SIGN THIS AGREEMENT UNTIL YOU AND YOUR LAWYER HAVE READ AND UNDERSTAND IT COMPLETELY

This Artist/Band agreement, (the “Agreement”) is made effective as of ______________, by and between ________________________ “Artist/Band”, and Blockhead TV LLC (“Producer”) in connection with Artist/Band’s desire to be a participant on the television channel titled “Blockhead TV” (“Blockhead TV”), for potential, initial or other, exhibition on one or more streaming platforms, and/or television networks and/or cable platforms, and/or Satellite TV and/or other content providing platform, all jointly and/or severely hereinafter referred to as (“Network”).

REGISTRATION

In order for any potential participants including: music artists, performers, musicians, bands, singers, songwriters, dancers (each potential participant, an “Artist/Band” and collectively, all “Artists/Bands”) to be considered to appear and/or perform on Blockhead TV they must first register on Producer’s website (the “Website”) and pay the irrevocable registration fee (the “Registration Fee”) requested on the Website. Artist/Band understands that Artist/Band will not for any reason or under no circumstances be entitled to any refund whether whole or in part of Artist/Band’s Registration Fee.

ACKNOWLEDGMENTS AND UNDERTAKINGS

Artists/Band acknowledges that Artists/Band submits: performance music video and/or footage, and/or other content either audio and/or video, and/or dance videos, and/or films, and/or any other content, to Producer, and at Producer’s sole discretion, Producer may decide to include said materials or not for any reason, in whole or in part, edited and/or not edited, on Blockhead TV, in connection with Artist/Band’s application to be considered by Producer to be a participant. Any material the Artist/Band prepares, and/or submits, and/or makes, in connection with Artist/Band’s application to be a participant on Blockhead TV is hereinafter referred to jointly as (“Performance Material”).
Artist/Band’s appearance therein if Artist/Band is selected as a participant is/are herein sometimes referred to as the “Performance.”) All Performance Material to be included in any Performance is/are subject to the prior written approval of Producer in its sole discretion, said approval by Producer may be denied for any reason.
Artist/Band acknowledges and agrees that Artist/Band’s selection as a participant may be contingent upon Artist/Band’s execution of additional agreements, consents, releases, authorizations, or amendments thereto, as required by Producer, and Artist/Band agrees to execute such documents promptly upon request to be eligible to participate.
Artist/Band hereby warrant and guarantee that Artist/Band has the full and complete authority to represent and bind any and all band members, performers, song writers, dancers, musicians, singers, consultants, technicians, editors, engineers, producers, and any other persons or entities, and/or any beneficiaries, successors, heirs, and assignees, that were associated and/or involved in any part of Performance Materials, and/or may be deemed to have (or will have) any rights, title, and/or ownership in any of the Performance Material, and intellectual property, Artist/Band is submitting for participation. By signing this agreement, it shall be deemed that Artist/Band is signing for all those participants described above in this paragraph. Artist/Band hereby indemnifies Blockhead TV of all liability with regard to any claims that may arise from Artist/Band’s warrants and representations herein, including but not limited to those made with regard to the Performance and the Performance Materials submitted.

ELIGIBILITY REQUIREMENTS

Artist/Band agrees and understands that Producer reserves the right at any time to render any person, artist, band, ineligible at Producer's sole discretion, for any reason.

APPLICATION AND SELECTION

Artist/Band has voluntarily applied to be a participant. Artist/Band understands that neither Producer nor anyone else will provide Artist/Band with any compensation for Artist/Band’s application to be a participant for Artist/Band’s participation in and in connection with Blockhead TV (if chosen to do so), or for any and all agreements and promises Artist/Band to make herein. Neither Producer, nor Network, nor anyone else associated with Blockhead TV, has made any promises not written in this Agreement, to Artist/Band.
Artist/Band understands that Producer and Network shall select the participants. Artist/Band understands that they have no obligation to select Artist/Band, even if Artist/Band meets all eligibility requirements and any selection criteria they may establish. Even if Artist/Band is selected, Artist/Band understands that Producer and/or Network are not obligated to have Artist/Band appear on Blockhead TV, and that they shall have the right at any time and all times to remove or replace Artist/Band for any reason whatsoever. Moreover, even if Artist/Band is selected, and even if Artist/Band participate as a participant on Blockhead TV or any part thereof, Producer and/or Network are not obligated to broadcast, exhibit, or otherwise use or exploit all or any part of Blockhead TV, or to include all or any part thereof. Artist/Band also understands and acknowledges that Producer and/or Network may delay, suspend, terminate, or abandon, Performance Material, received from Artist/Band for Blockhead TV at any time, for any reason, without any obligation to Artist/Band whatsoever. Blockhead TV and the Network are not required or obligated to return any Performance Materials.
As it relates in any way to Artist/Band, Artist/Band understands that Producer shall have sole discretion and control over every aspect of Blockhead TV, that their decisions on all matters related to Blockhead TV shall be final and binding on Artist/Band in all respects, that their decisions on all matters related to Blockhead TV shall not be subject to challenge or appeal, and that their decisions on all matters related to Blockhead TV shall not be subject to any limitation whatsoever, except for any limitations imposed by law.
Artist/Band represent and warrant that Artist/Band and all associated band members, song writers, performers, singers, musicians, and associated persons with Performance or Performance Materials are at least 18 years of age and are legal resident of the United States.

GRANT OF RIGHTS

Producer and Network shall have the right to broadcast, exhibit, videotape, audiotape, film, portray, photograph and otherwise record Artist/Band, Artist/Band’s likeness, voice, actions and statements, as well as any materials, names, logos, artwork, packaging, Performance Materials, commodities, devices, equipment, trademarks and service marks and facts related to Artist/Band in connection with Blockhead TV (including, without limitation, during the participant selection process), as often and for such periods of time as Producer deems at Producer’s sole discretion, including but not limited to, any such recordings, and all information Artist/Band have supplied in Artist/Band’s Performance, Performance Material, or otherwise.

RELEASE, AGREEMENT NOT TO SUE AND INDEMNIFY

The term “Released Parties” shall mean and refer to Producer, and its officers, directors, managers, employees, consultants, associates, heirs, assigns, successors.
To the maximum extent permitted by law, Artist/Band and any associated business entity and Artist/Band’s band members, songwriter’s, performers, musicians, singers, dancers, heirs, next of kin,, spouses, guardians, employees, agents, contractors, representatives, executors, administrators, successors, licensees and assignees (Collectively, the “Releasing Parties”)irrevocably and unconditionally release and forever discharge each of the released parties from any and all claims, actions, complaints, damages, demands, allegations, suits, liabilities, losses, liens, costs, expenses and injuries of any kind whatsoever including, without limitation, attorney’s fees and costs and expert witness fees (Collectively, “Claims”) directly or indirectly caused by, arising out of, resulting from, relating to or by reason of Artist/Band’s participation in or connection with Blockhead TV (Collectively, “the Released Claims”), whether occurring before, during or after Artist/Band’s actual participation and whether or not caused by or arising out of the negligence, gross negligence, or intentional misconduct of the released parties, and releasing parties also agree not to sue or institute any other legal proceedings against any of the released parties based on any of the released claims hereunder.
Artist/Band acknowledge, on behalf of myself and the other Releasing Parties, that there is a possibility that after the execution of this Agreement, Artist/Band may discover facts or incur or suffer claims that were unknown or unsuspected at the time Artist/Band executed this Agreement, and which, if known by Artist/Band at that time, may have materially affected Artist/Band’s decision to execute this Agreement. Artist/Band acknowledges and agrees that by reason of this Agreement and the releases contained herein, Artist/Band have assumed any risk of such unknown facts and such unknown and unsuspected claims.
Notwithstanding the foregoing, this release shall constitute a full, final and complete release, accord and satisfaction of each and every of the released claims that Artist/Band have or may have, at any time, against any of the released parties.
To the maximum extent permitted by law, Artist/Band and the other Releasing Parties agree to defend, indemnify and hold each of the Released Parties free and harmless from and against any and all Claims (including, without limitation, attorneys' fees and costs and expert witness fees) caused by, arising out of, resulting from, or relating to, Artist/Band’s participation in or in connection with Blockhead TV , including, without limitation:
Any statements, actions and omissions made by Artist/Band during or in connection with Artist/Band’s participation on Blockhead TV, whether or not authorized by any Released Party;
Artist/Band’s decision to follow the advice or instructions of Producer or anyone else connected with Blockhead TV or Artist/Band’s failure to follow the advice or instructions of Producer or anyone else connected with Blockhead TV;
Artist/Band breach or alleged breach of this Agreement or any other agreements with the Released Parties or related to Blockhead TV, including any breach or alleged breach of the Performance, Performance Material, warranties or covenants set forth herein;
Any materials supplied by Artist/Band to Producer or Network;
The exercise by any Released Party of any of the rights granted herein or in any other agreement relating to Blockhead TV;
Any claims, actions, proceedings, or suits alleging, without limitation, breach of contract and/or infringement or misappropriation of any intellectual property rights or trade secrets and/or any claims of Performance Material liability brought against any Released Party in connection with any Performance Material, on Artist/Band’s website or Artist/Band’s participation in or association with Blockhead TV;
Any claims, actions, proceedings or suits by any owner(s), shareholder(s) and/or partner(s) of Artist/Band in connection with Artist/Band’s participation and/or any terms, conditions and/or rights granted herein;
The conduct of any Business activity, including, without limitation, any claims, actions, regulatory actions, proceedings or suits alleging infringement or misappropriation of any intellectual property rights or trade secrets, labor claims and/or violations, claims and/or violations for deceptive advertising practices and/or any claims for personal injury, Performance Material, liability or wrongful death, brought against any Released Party in connection with the conduct of any Business activity; and
Any violation of applicable federal, state, or other laws in connection with, related to, resulting from, or arising out of the Performance, or Submitted Performance Material, or Artist/Band’s participation in connection with Blockhead TV.

MISCELLANEOUS PROVISIONS

This Agreement is personal to Artist/Band and is not assignable by Artist/Band, and any purported assignment by Artist/Band shall be invalid.
This Agreement, and the benefits and rights granted hereunder, are freely assignable by Producer, Network, the Released Parties and any of their respective assignees and licensees. In particular, but without t in any way limiting the foregoing, Artist/Band understands and acknowledges that Producer may assign, license, or otherwise transfer some or all of its rights in and in connection with Blockhead TV to Network and/or others.
Artist/Band represent and warrant that Artist/Band has had the opportunity to review this Agreement with legal counsel before signing it. This Agreement shall not be construed in favor of or against any party by reason of the drafting of all or any part of this Agreement.
All statements and Performances made by Artist/Band in this Agreement are true. The name given below is Artist/Band’s current legal name. In addition, the address, phone numbers, and email addresses furnished below are current and accurate. If Artist/Band’s name, address, telephone numbers, or email addresses change at any time, Artist/Band shall immediately notify Producer in writing.
Artist/Band represents and warrants that Artist/Band has the full right, power, and authority to grant the rights Artist/Band is granted to Producer in this Agreement. Artist/Band is not under any obligation to any television network, producer, or other party which would in any way prohibit or restrict Artist/Band from participating as contemplated hereby, and that Artist/Band’s participation (if any) and the use of the Performance Material by Producer or anyone else will not violate or infringe upon any rights of any third party and will not cause Artist/Band to be in breach or violation of any agreements to which Artist/Band is a party.
This Agreement may be executed by original, facsimile, or electronic signature, or by pressing, depressing, selecting, deselecting, choosing or picking, the agreed to button(s) associated with the terms and conditions of this agreement located on Website. Any signed copy of this Agreement delivered by facsimile or electronic transmission shall for all purposes be treated as if it had been delivered containing Artist/Band’s original signature, shall be binding upon Artist/Band in the same manner as though an original signed copy had been delivered, and Artist/Band hereby waive the right to contest the validity of the signature or other forms of agreement described above on the grounds that it is not an original hard signature. This Agreement shall be deemed and construed to contain the entire agreement and understanding binding upon the parties hereto and no prior or subsequent representations, whether oral or written, with respect to the subject matter heretofore made by any party hereto, its agents, representatives, affiliates and/or nominees will be binding upon any party hereto unless agreed to in writing by all the parties hereto. This Agreement may not be modified, amended, waived, or discharged in whole or in part, except in writing signed by all parties hereto. Nothing in this Agreement shall be construed to create a partnership or joint venture between the parties hereto.

GOVERNING LAW AND JURISDICTION AND VENUE

This Agreement shall be construed and enforced in accordance with the internal, substantive law of the State of New York, regardless of where negotiation, execution and performance of this Agreement may actually occur and without regard to that state’s conflict of law’s provisions. The party to a Dispute agrees to submit to the in persons jurisdiction of the Supreme Court of the State of New York in New York County and the United States District Court for the Southern District of New York.
